These Terms of Service ("Terms") govern access to and use of ClinicRun's clinic management platform, including our web application and mobile apps (together, the "Service"), provided by ClinicRun Systems ("ClinicRun," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the Clinic you represent. If you do not agree, do not use the Service.
1. The Service
ClinicRun provides software to help clinics manage patients, appointments, visits, prescriptions, lab orders, procedures, billing, and inventory. ClinicRun is a software tool; it does not provide medical advice, diagnosis, or treatment, and is not a substitute for professional clinical judgment. Clinics and their staff remain solely responsible for the care they provide to patients and for the accuracy of clinical data entered into the Service.
2. Accounts & Eligibility
- You must provide accurate and complete information when creating an account, and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Clinic administrators are responsible for managing staff access, roles, and permissions within their Clinic's account, and for ensuring staff use the Service in compliance with these Terms and applicable law.
- You must notify us promptly of any unauthorized use of your account.
3. Subscriptions & Billing
- Certain features require a paid subscription. Applicable fees, billing cycle, and plan details are presented at signup or in your account settings.
- Free trials, where offered, automatically convert to a paid subscription or restrict access at the end of the trial period unless you cancel or upgrade beforehand, as described at signup.
- Subscriptions renew automatically for successive billing periods unless cancelled in advance of the renewal date.
- Except where required by law, fees are non-refundable.
- We may change subscription pricing prospectively, with reasonable notice before it applies to your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable healthcare, data protection, or privacy laws
- Attempt to access another Clinic's data without authorization
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law
- Use the Service to store or transmit malicious code
- Resell, sublicense, or provide access to the Service to third parties outside your Clinic without our consent
5. Clinic Data & Ownership
As between you and ClinicRun, your Clinic retains all rights to the patient and clinic data you input into the Service ("Clinic Data"). You grant ClinicRun a limited license to host, process, and display Clinic Data solely to provide and support the Service. You are responsible for having the necessary rights and consents to submit Clinic Data, including patient information, to the Service. See our Privacy Policy for details on how we handle data.
6. Intellectual Property
The Service, including its software, design, and branding, is owned by ClinicRun and protected by intellectual property laws. Except for the limited right to use the Service as intended, these Terms do not grant you any ownership interest in the Service.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. CLINICRUN DOES NOT PROVIDE MEDICAL ADVICE, AND CLINICS ARE SOLELY RESPONSIBLE FOR CLINICAL DECISIONS MADE USING INFORMATION MANAGED THROUGH THE SERVICE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINICRUN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
9. Termination
You may stop using the Service and cancel your subscription at any time through your account settings or by contacting us. We may suspend or terminate access to the Service if you breach these Terms, or if necessary to protect the Service or other users. Upon termination, we will handle Clinic Data in accordance with our Privacy Policy and applicable law.
10. Changes to the Service or Terms
We may modify or discontinue features of the Service, and may update these Terms from time to time. We will update the "Last updated" date above, and for material changes we will provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles, unless otherwise required by applicable local law.
